Master Software Subscription Agreement

Zero-Hour Content SystemVersion 2026-10-29Effective 29 October 2026

The short version

This summary is for convenience only. It does not replace the full Agreement below, which governs.

1. Parties, acceptance and structure

  1. This Master Software Subscription Agreement (Agreement) is between LP STUDIO, LEON PANJTAR S.P., trading as Zero-Hour System, a sole proprietor registered in the Republic of Slovenia under Registration No. 6493211000, VAT ID SI23530898, of Kamnitnik 17, 4220 Škofja Loka, Slovenia (Zero-Hour, we, us) and the person or entity that accepts it (Customer, you). We are the seller of the licence; Stripe only processes the payment.
  2. Electronic acceptance. You accept this Agreement by ticking the acceptance box on our website before checkout, by accepting it at Stripe Checkout, by ticking the acceptance box when you sign in to the App, or by installing or using the App. That act is a binding electronic signature. If you accept on behalf of an organisation, you confirm you are authorised to bind it, and "Customer" means that organisation.
  3. Business customers. The App is offered to businesses, sole traders and professionals for use in their trade or profession (B2B). By buying, you confirm that you buy for that purpose and that you are at least 18 years old. If you are nonetheless a consumer under the law that applies to you, nothing in this Agreement limits the mandatory rights that law gives you, and sections 10.7, 15.4 and 20.3 apply to you.
  4. Documents and precedence. This Agreement incorporates the Terms of Service (which cover the website and general conduct) and the Privacy Policy. For the App, licensing, billing and the data described in section 9, this Agreement prevails over the Terms of Service.

3. Licence grant

  1. Licence. Subject to this Agreement and payment of the Fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence during the Licence Term to install and use the App in object-code form for your own business or personal brand.
  2. Two Macs. One licence may be active on up to 2 Macs that you own or control at the same time. You can move the licence to another Mac by signing out on one of them.
  3. Licence checks and updates. The App signs in with your email (one-time code) and refreshes your licence with our server about once a day. It needs an internet connection for that; between checks it keeps working offline until the licence key it holds expires. We may update the App, and may require an update to keep using it. Updates are subject to this Agreement.
  4. Reservation. The App is licensed, not sold. We reserve all rights not expressly granted.

4. Restrictions

You must not, and must not permit anyone else to:

  1. Copy, modify, translate or create derivative works of the App, Looks or Templates, except as reels are created through the App's normal operation;
  2. Reverse engineer, decompile or disassemble the App, or try to extract its prompts, recipes or source code, except to the extent applicable law expressly permits this despite a contractual restriction;
  3. Sell, resell, rent, lend, share, sublicense or distribute the App or your licence, or use it on more Macs than your licence allows;
  4. Use the App, Looks, Templates, prompts or the R.E.A.L. Method to build or train a competing product or any machine-learning model;
  5. Circumvent, disable or interfere with licence checks, sign-in, device limits or security features;
  6. Use the App to record people unlawfully, or to create or publish content that is illegal, infringing, defamatory, harassing or deceptive;
  7. Abuse the referral program, Hosted Reels or our servers, for example with fake accounts, self-referrals, automated traffic or files that are not reels made with the App.

5. Ownership and intellectual property

  1. What you own. As between you and us, you own Your Content, including your recordings, transcripts and reels. We claim no ownership of it.
  2. What we own. We and our licensors own the App and everything in it, including its code, Looks, Templates, prompts, recipes, the R.E.A.L. Method, the Zero-Hour name and brand, and the Documentation. Looks and Templates that appear in reels you made during your Licence Term may stay in those reels after it ends.
  3. Licence to us. You give us a limited licence to store and transmit Hosted Reels and the other data in section 9, only as needed to provide the App and its features to you.
  4. Feedback. If you send us ideas or feedback, we may use them freely without obligation to you.

6. AI output disclaimer

  1. AI Output is generated automatically. It can be wrong, incomplete, out of context, misleading or unsuitable, can misquote or misattribute people, and can resemble content made by others.
  2. You must review and, where needed, correct every clip and text before you publish it. Publishing is your decision and your responsibility.
  3. We do not guarantee any reach, views, followers, leads or revenue from anything you publish.

7. Requirements and your responsibilities

  1. Requirements are your responsibility. To use the App you need, at your own cost: (a) a Mac with Apple silicon (M1 or later) running a supported version of macOS; (b) Claude Code by Anthropic, installed and working on your own Anthropic account, with whatever Anthropic plan or usage it needs (you pay Anthropic for that directly); and (c) a Buffer account if you want to publish or schedule posts. You confirm before purchase that you meet these requirements. We do not provide, pay for or support these products, and the App not working because a requirement is missing is not a defect of the App.
  2. You are solely responsible for Your Content. You alone are responsible for Your Content, including: (a) its content and accuracy; (b) intellectual property in it, including copyright, trademarks, music, logos and other third-party material; (c) the personality, image, voice, privacy and data protection rights of everyone who appears in or is mentioned in it; (d) informing and getting the consent of every participant before you record a call, and complying with the call recording and data protection laws of every jurisdiction involved; (e) your confidentiality obligations to clients and others, including NDAs; and (f) complying with the rules, community guidelines, advertising and disclosure policies of every platform you publish to.
  3. We are not responsible for Your Content. We do not review, approve or control Your Content, and we cannot see it. To the maximum extent permitted by law, Zero-Hour, LP Studio and Leon Panjtar are not responsible or liable for any content created, edited or published with the App, for any infringement of intellectual property or other rights arising from it, or for any claim, takedown, account restriction, fine or loss that results from it.
  4. Your Mac and backups. Your Content lives on your Mac. You are responsible for your Mac, its security and your backups. We cannot recover recordings or reels that are lost on your Mac.
  5. Your account. Keep access to the email you sign in with secure. You are responsible for use of the App under your licence.

8. Third-party services

  1. Claude Code and other Anthropic services, Buffer, Stripe and the social platforms are provided by independent companies under their own terms and privacy policies, which you must accept and follow. When the App uses Claude Code, it runs on your Mac under your own Anthropic account and your agreement with Anthropic. Anthropic is not our processor or sub-processor, and we do not receive what your Mac sends to it.
  2. We are not responsible for Third-Party Services, including their availability, pricing, output, changes, moderation decisions or account actions. If a Third-Party Service changes or stops in a way that affects the App, we will make reasonable efforts to adapt, but this is not a breach of this Agreement.

9. Your data: what leaves your Mac

  1. Local by default. Your recordings, transcripts, reels and the work in progress stay on your Mac. We do not receive them, except Hosted Reels.
  2. What our servers receive. Only: (a) your email, licence and Mac information for sign-in and licence refresh; (b) your App settings for sync between your Macs, never passwords, API keys or other secrets; (c) the email addresses you enter to invite friends to the referral program, used to send the invite and track the referral; and (d) Hosted Reels and their posting text, when you publish through Buffer.
  3. Hosted Reels: where and how long. Hosted Reels are stored on DigitalOcean Spaces in Frankfurt (EU) at an unguessable address so Buffer can fetch them. They are deleted from our servers once the App reports the post as sent, or after 6 months at the latest.
  4. Roles. For your sign-in, licence, billing and settings data we act as controller, as described in the Privacy Policy. For Hosted Reels (and the people who appear in or are mentioned in them) and the invite emails you enter, we process the data on your behalf and on your documented instructions, only to provide those features, with appropriate security, using DigitalOcean as sub-processor (we will tell you by email or in the App at least 14 days before adding or replacing one, and you may object), and we delete it as described above. We will help you with data subject requests and breach notifications that concern that data, as the GDPR requires of a processor, and this section is our data processing agreement with you. You are responsible for having a lawful basis to share that data with us, including telling the people on your reels and the friends you invite.
  5. Usage data. We may use technical and diagnostic information about licence checks and App errors, in a form that does not identify the people in Your Content, to run and improve the App.

10. Fees, billing, renewal, cancellation and refunds

  1. Price and tax. The Fees are the yearly price shown on our website and at checkout. Prices are shown without VAT. VAT (or the equivalent tax) is calculated and added at checkout based on your billing address; EU businesses can enter a VAT number. Payment is processed by Stripe; we are the seller.
  2. Yearly renewal. Your licence is a subscription. It renews automatically for another year at the end of each Licence Term, and Stripe charges your saved payment method at that time, unless you cancel before the renewal date.
  3. Your price stays. The price you paid at purchase is your renewal price for as long as your subscription continues without a gap. Prices for new buyers rise in steps over time; that does not change yours. If we ever need to change your renewal price (for example because our costs change), we will email you at least 30 days before the renewal it applies to, and you can cancel before then.
  4. Cancellation. You can cancel at any time in the Stripe customer portal (ask us for your portal link if you do not have it) or by emailing [email protected] from your sign-in address. Cancellation stops the next renewal; your licence keeps working until the end of the Licence Term you paid for. We do not refund the remaining part of a year, except under sections 10.6, 10.7, 11 or 18.2 or where the law requires.
  5. Failed payments. If a renewal payment fails, you get a grace period of 7 days to fix it. After that the App is blocked and Hosted Reel uploads stop until payment succeeds.
  6. Refunds, prepaid beta seats, disputes. Fees are otherwise not refundable, except under our guarantee in section 11 or where the law requires. Prepaid beta seats are fully refundable: if you prepaid for one of the beta seats, you can ask for a full refund of that payment at any time during your first Licence Term by emailing [email protected], no reason needed. Any refund ends your licence. If you dispute a valid charge with your bank or card issuer instead of contacting us, we may revoke your licence.
  7. Right of withdrawal (consumers). As a business customer you have no statutory right of withdrawal. If you are a consumer in the EU, the UK or another country with a similar rule, you have the right to withdraw from this contract within 14 days of purchase without giving a reason, by emailing [email protected] (a clear statement that you withdraw is enough); we then refund you within 14 days using the payment method you used. However, because we issue your licence and make the App available to you immediately after payment, by accepting this Agreement at checkout you expressly ask us to start performance right away and acknowledge that you lose your right of withdrawal once your licence has been issued. Our guarantee in section 11 and the beta-seat refund in section 10.6 apply in addition and are not affected by this.

11. Our guarantee

  1. First shorts within 30 minutes after your first recorded call or your money back.
  2. How to claim. If, with the requirements in section 7.1 in place, the App does not give you your first shorts within 30 minutes after your first recorded call, email [email protected] (or reply to any email from us) from the email address you bought with, within 30 days after your licence was issued, and we will refund the full price you paid for your first year within 14 days, to the payment method you used. We may ask what happened so we can fix it, but a refund does not depend on the answer.
  3. Effect. A refund ends your licence. The guarantee applies once per customer and is in addition to any rights you have by law.

12. Referral program

  1. You can invite friends from the App. A friend who buys through your invite gets 25% off their first year. For each invited friend who pays, 1 month is added to your licence.
  2. Rewards are given after the friend's payment succeeds and may be reversed if that payment is refunded or charged back. Self-referrals, fake or duplicate accounts and spam are not allowed. Rewards have no cash value and cannot be transferred.
  3. Only invite people you know and who would reasonably expect to hear from you. We may change or end the program for future referrals at any time; rewards already earned stay.

13. Suspension

  1. We may suspend or block your licence, Hosted Reels or referral rewards: (a) for non-payment after the grace period in section 10.5; (b) if you breach section 4 or section 7, or abuse our servers or the referral program; (c) if you file a chargeback for a payment that was valid; or (d) where required by law.
  2. Where reasonable, we will tell you first and give you a chance to fix the problem. We will restore access once the reason is resolved.

14. Warranties and disclaimers

  1. We will provide the App with reasonable skill and care, and it will work materially as described in the Documentation when the requirements in section 7.1 are met. If it does not, tell us and we will try to fix it.
  2. Otherwise, to the maximum extent permitted by law, the App is provided "as is" and "as available", without other warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement or uninterrupted or error-free operation.
  3. If you are a consumer, the statutory guarantees for digital content and digital services in your country apply and are not limited by this section.

15. Limitation of liability

  1. Nothing in this Agreement limits liability for death or personal injury caused by negligence, for fraud, for intentional misconduct or gross negligence, or any other liability that cannot be limited by law.
  2. Subject to 15.1, neither party is liable for indirect or consequential loss, or for lost profits, revenue, reputation, goodwill or data.
  3. Subject to 15.1, our total liability for all claims arising out of or relating to this Agreement or the App will not exceed the Fees you paid us in the 12 months before the event giving rise to the claim.
  4. Consumers. If you are a consumer, this section does not affect your statutory rights. We are liable to you for foreseeable loss and damage caused by our breach of this Agreement or our negligence, as the law requires; we are not liable for loss that was not foreseeable, that was caused by your breach, or that results from business use of the App.

16. Indemnities

  1. By you. To the maximum extent permitted by law, you will defend, indemnify and hold harmless Zero-Hour, LP Studio, Leon Panjtar and our contractors from and against all claims, damages, losses, fines, costs and expenses (including reasonable legal fees) arising out of or relating to Your Content, your recording of any person, anything you publish, your use of Third-Party Services, invites you send, or your breach of this Agreement or of the law. If you are a consumer and your law does not allow such an indemnity, you remain liable to us for losses caused by your breach as the law provides.
  2. Infringement by the App. If a third party claims that the App itself infringes its intellectual property, we may modify or replace the App, get you the right to keep using it, or end your licence and refund the unused part of your prepaid Fees. This is your only remedy for such claims.
  3. Procedure. The party seeking protection must tell the other promptly, give reasonable help, and not settle a claim in a way that binds the other without consent.

17. Term, termination and effect

  1. This Agreement starts when you accept it and continues while you have a licence, including renewals.
  2. You can end it by cancelling (section 10.4). We can end it if you materially breach it and do not fix the breach within 14 days of notice, or at once for serious breaches of section 4 or section 7.
  3. Effect. When your licence ends, the App stops processing new calls. Your Content stays on your Mac and remains yours. Hosted Reels are deleted from our servers, and we stop syncing settings. Sections 5, 6, 7.2, 7.3, 15, 16, 20 and 21 survive.

18. Changes to this Agreement

  1. We may update this Agreement. For material changes we will show you the new version in the App and ask you to accept it before you continue using the App, and we will not apply a material change to a running Licence Term without giving you at least 30 days' notice by email. Changes required by law, or that are clearly in your favour, may take effect sooner.
  2. If you do not accept a material change, you can cancel and receive a pro-rata refund of prepaid Fees for the rest of the Licence Term.

19. Export controls and sanctions

You confirm that you are not subject to, or located in a country subject to, EU, UN or US sanctions that would prohibit us from providing the App to you, and you will not use the App in breach of export control or sanctions laws.

20. Governing law and venue

  1. This Agreement, its subject matter and its formation, and any dispute or claim (contractual or non-contractual) arising out of or in connection with it, are governed by the laws of the Republic of Slovenia, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. This applies whether you are a consumer or a business, subject to clause 20.3.
  2. The courts of the Republic of Slovenia have exclusive jurisdiction, with the competent court in Ljubljana as the agreed venue, except that we may seek injunctive relief or enforce a judgment in any competent court.
  3. Consumer carve-out. If you are a consumer, you benefit from the mandatory provisions of the law of your country of residence, may bring proceedings in the courts of that country, and may be sued by us only there. The consumer dispute-resolution provisions in the Terms of Service apply to this Agreement.
  4. Before starting proceedings, the parties will attempt in good faith to resolve any dispute by discussion for at least 30 days.

21. General

  1. Entire agreement. This Agreement, the Terms of Service and the Privacy Policy are the entire agreement between the parties about their subject matter and replace all earlier agreements and statements about it. No purchase-order or other terms you issue apply.
  2. Assignment. You may not transfer this Agreement or your licence without our written consent. We may assign it to a successor of our business and will tell you.
  3. Force majeure. Neither party is liable for failure or delay (other than payment) caused by events beyond its reasonable control, including failure or change of Third-Party Services or AI providers.
  4. Notices. We give notice by email to the address you bought or signed in with, or in the App. You give notice by email to [email protected] (support and refund requests: [email protected]), and for legal notices also by post to Kamnitnik 17, 4220 Škofja Loka, Slovenia.
  5. Severability and waiver. If a provision is invalid, it is modified to the minimum extent needed and the rest stays in force. Not enforcing a right is not a waiver of it.
  6. Independent parties. Nothing creates a partnership, joint venture, agency or employment relationship.
  7. Language. This Agreement is in English. Translations are for convenience only and the English version prevails to the extent permitted by law.
  8. Electronic records. Electronic records of acceptance (including timestamp, email or licence identifier and version accepted) are admissible as evidence of this Agreement. Every version of this Agreement stays available at zerohoursystem.com/mssa.html, and earlier versions on request.
